Incorporation of Hong Kong Limited Company

Requirements:

1. At least one director and shareholder (aged 18 or over);
2 One Company Secretary (must be Hong Kong resident or company)
3. No. of shares
4. A business address in Hong Kong as registered office **the nationality of shareholder / director is not restricted, the person who holds the overseas passport / P.R.C. ID can set up the company in HK**

Time it takes:

	After the documents are signed
Set up a new Limited Company (Tailor-made);	About 7 working days
Purchase a ready-made Limited Company (Ready-made)	About 2 working days

Documents / information required:

1.Provide at least 3 proposed company names (if setting up by Tailor-made) / company names from the shelf company list (if setting up by (Ready-made) (can be English & Chinese / Chinese / English) for checking its availability.
2.Shareholder’s and Director’s ID copy and / or passport copy (depending on nationality)

Arrangement for opening bank account

Documents / information required

1.The company’s documents / information:

The date of incorporation:	Depending on the bank’s requirement, however, normally the bank requires:
Less than 1 year	Certificate of Incorporation, Business Registration Certificate, Article of Association, NNC1 form, etc
More than 1 year	Certificate of Incorporation, Business Registration Certificate, Article of Association, the latest Annual Return, etc

2.Shareholder’s, director’s and authorized signer’s ID / passport copy and address proof (issued within 3 months)
3.Business proof (eg. Contract(s), order(s), delivery note(s), sale invoice(s), purchase invoice(s), website, etc)
4.Related company’s information
5.the director’s bank statement (the recent 3 months)

Times it takes

In normal circumstance:
1.Appointment with bank is arranged with bank in advance and the director and authorized signer need to present at the appointment personally
2.It takes around 1month (since the date of appointment) to open the bank account.

Provision of registered office address

We will inform our client (by email / post / courier) if we received any letters (eg. from Government / bank). *** The extra fee will be charged if the client require to have it posted / courier**
